Terms of Sourcing & Master Agreement

1Clause 1: Scope & Specification Guarantees

These Terms of Sourcing govern all purchase orders, custom extrusion contracts, and supply agreements between EcoPack Sourcing Ltd. ("EcoPack") and the buyer. All film extrusions, bags, and flexible pouches are manufactured strictly in accordance with approved Technical Data Sheets (TDS) and pre-production samples.

2Clause 2: GRS 4.0 PCR Certification & Mass Balance

For orders specified with Post-Consumer Recycled (PCR) content (30% to 100%), EcoPack guarantees chain-of-custody compliance backed by audited GRS 4.0 Scope Certificates (SC). Batch-level GRS Transaction Certificates (TC) can be provided with commercial shipping documentation upon request for UK Plastic Packaging Tax exemption audits.

3Clause 3: Quality Control & AQL 1.0 Inspection

All production runs undergo in-line cleanroom inspection and final QA audit governed by ISO 2859-1 Sampling Procedures. The standard Acceptance Quality Limit (AQL) is set at Critical: 0, Major: 1.0, Minor: 2.5 for dimensions, seal strength, print registration, and zipper functionality.

4Clause 4: Shipping, Delivery & Incoterms 2020

Unless otherwise specified in writing, all ocean freight orders are quoted on FOB Shenzhen Port (Yantian/Shekou) or CIF Destination Port (e.g. Hamburg, Rotterdam, Los Angeles, Felixstowe) under Incoterms 2020. Lead times range from 10 to 18 calendar days from sample approval.

5Clause 5: Payment Terms & Governing Jurisdiction

Standard payment terms for new accounts require a 30% deposit upon PO confirmation, with the remaining 70% balance payable against the presentation of the Bill of Lading (B/L) and GRS TC preview. Contractual disputes shall be settled through friendly negotiation or submitted to CIETAC arbitration under Chinese law.

6Clause 6: Sample Swatch & Custom Prototyping Commercial Policy

Due to international cross-border logistics costs, sample requests are governed under strict transparent commercial guidelines:

• Stock Swatch Material Samples: Physical film swatches, resin material chips, and existing stock GRS PCR bags are provided free of product charge. International express courier freight (DHL, FedEx, UPS) is payable by the buyer (Freight Collect or billed at net carrier cost).
• Custom Specification Prototyping: Custom extruded film samples, custom artwork cylinder proofs, or tailored bag dimensions require a nominal pre-production development fee. This up-front sampling fee is 100% credited back and deducted from your mass production purchase order invoice upon bulk order placement.
